Security and Compliance Terms of Service

Effective from July 18, 2022

EON Security and Compliance Terms of ServicePlease read the following carefully.  This is a legally binding agreement between You AS A USER (AS FURTHER DEFINED BELOW) (“User” or “You” or “Client” or “Vendor”) and EON Group Holdings, Inc., (“EON” or “We”).  These Security and Compliance Terms of Service, and Collectively the EON Privacy Policy, and Master Service Agreement, constitute the “Agreement” between You and EON regarding your access to and use of EON’s Web Applications (collectively, “Web Apps”), EON’s Application Programming Interface(s) (“API(s)”), EON Marketplace, EON Exchange, and ALL attendant Purchased Services or Free Services provided by EON (Collectively, “Services”). Capitalized terms not defined herein shall have the respective meanings given to them in the Master Service Agreement.


1. Reservation of Rights.
We reserve the right, in our sole discretion, to change these Security and Compliance Terms of Service from time to time to fulfill our obligations to:

1. Maintain compliance with relevant legislation and associated court decisions which clarify how compliance should be implemented.
2. Evolve our security profile and support security best practices.
3. Address previously unforeseen abuses of our Services or any data which we process.
4. Account for new Services, features, or functionality not addressed by these Security and Compliance Terms of Service, Privacy Policy, or Master Service Agreement.

We will use commercially reasonable efforts to provide You with reasonable advance notice of any proposed change to these Security and Compliance Terms of Service.  You are responsible for reviewing the Agreement regularly.  Your access to any part of the Services is deemed to be your acceptance of this Agreement as it exists at the time You access the Services.


2. General Provisions
2.1 Export Compliance. 
The Services, Content, Data, other EON technology, and derivatives thereof may be subject to export laws and regulations of the United States and other jurisdictions.  EON and You each represent that it is not named on any U.S. government denied-party list.  Client and Vendor will not permit any User to access or use any Service or Content in a U.S.-embargoed country or region (currently Cuba, Iran, North Korea, Sudan, Syria, or the following regions of Ukraine: Crimea, Donetsk, and Luhansk) or in violation of any U.S. export law or regulation.

2.2 Operation of the Services from the United States of America.  By accessing and using the Services, You acknowledge and agree that EON controls and operates the Services principally from its offices and/or servers located in the United States of America.  EON reserves the right to limit, in its sole discretion, the provision, and quantity of any feature, product, or service to any person or geographic area as required by law, regulation or recognized authority.  Any offer for any feature, product, or service made on or through the Services is void where prohibited.  Client and Vendors may not use any portion of the Services in violation of applicable export laws and regulations.

2.3 Access and Use Where Prohibited.  Access to and use of the Services are unauthorized in any jurisdiction that does not give effect to all provisions of the Agreement, including without limitation this Section.

2.4 Technology Development.  The specific features and functionality of the Services are dynamic and may change from time to time.  EON reserves complete and sole discretion with respect to the operation of the Services.  EON also reserves the right to upgrade, withdraw, suspend, or discontinue any feature or functionality of the Services at any time except as otherwise agreed within a Master Service Agreement or a Service Level Agreement (if applicable).


3. Disclaimers.
By using the Services, You acknowledge and agree to the following disclosures and disclaimers about EON and the Services:

(a) EON does not actively review, qualify, vet, or endorse your products that have digital identities on the Services, and EON expressly disclaims any duty to do so.  EON does not supervise, direct, or control Client brands or Vendors in the provision of a Client’s products to customers or consumers.
(b) EON reserves full discretion to address any question, issue, complaint, or objection about any User’s use of the Services in any manner EON deems necessary or appropriate, including, without limitation, sanction, suspension, or termination of a User account.
(c) EON may review communications made from Users to EON, or among Users, using the Service’s communication features for legitimate business purposes, including in the course of service investigations regarding security incident investigations, User complaints, disputes between and among Users, support communications, password reset requests, etc.  Review of such communications shall be consistent with the EON Privacy Policy.
(d) EON does not and cannot verify all information provided by Users.  EON has no control over and makes no representations or warranties as to the identity of any User to whom a Client or Vendor provides access, and EON disclaims any and all liability relating thereto.
